Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the FlipRoute mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

These Terms constitute a legally binding agreement between you and FlipRoute AI LLC ("FlipRoute," "we," "our," or "us"), a California limited liability company.

2. Description of Service

FlipRoute is a mobile application that assists resellers with item identification, real-time market pricing, inventory management, route optimization, and direct listing creation on third-party platforms (e.g., eBay).

FlipRoute is a tool to assist your decision-making. We do not guarantee any specific financial results, resale prices, or successful sales.

3. Eligibility

You must be at least 18 years old to use FlipRoute. By using the App, you represent and warrant that you meet this requirement.

4. User Responsibilities

By using FlipRoute, you agree that:

• Listing accuracy: You are solely responsible for the accuracy, completeness, and legality of any listings you create through the App.
• Ownership: You certify that you own or have the legal right to sell any item you list through the App.
• Platform compliance: You are responsible for complying with the terms of service of any third-party platform (including eBay) through which you list items.
• Accurate descriptions: You agree not to list counterfeit, stolen, or prohibited items, and not to misrepresent the condition, authenticity, or provenance of any item.
• Tax compliance: You are solely responsible for reporting and paying any applicable taxes on your sales. FlipRoute's expense tracking features do not constitute tax advice.

5. eBay Integration

FlipRoute integrates with eBay's APIs to enable pricing lookups and listing creation. By connecting your eBay account:

• You authorize FlipRoute to act on your behalf to create and manage listings on eBay
• You acknowledge that FlipRoute is not affiliated with or endorsed by eBay Inc.
• You remain solely responsible for all activity on your eBay account
• eBay's own Terms of Service and policies govern your eBay account and listings

6. AI-Powered Features

FlipRoute uses artificial intelligence for item identification and description generation. You acknowledge that:

• AI-generated content may be inaccurate or incomplete
• You must review and verify all AI-generated content before using it in any listing
• FlipRoute is not liable for losses arising from inaccurate AI identification or pricing suggestions
• Pricing data reflects third-party market data at the time of query and may not reflect actual sale prices

7. Intellectual Property

All content, features, and functionality of the App are owned by FlipRoute AI LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal reselling purposes. You may not copy, modify, distribute, sell, or reverse engineer any part of the App.

8. Privacy

Your use of FlipRoute is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

FlipRoute integrates with third-party services including eBay, OpenAI, Google Maps, and Cloudinary. Your use of those services is governed by their respective terms and privacy policies. FlipRoute is not responsible for the availability, accuracy, or conduct of third-party services.

10. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that pricing data will be accurate or current.

11. Limitation of Liability

To the maximum extent permitted by applicable law, FlipRoute AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you for any claims shall not exceed $50 or the amount you paid for the App in the twelve months preceding the claim, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless FlipRoute AI LLC and its officers, directors, employees, and agents from any claims, liabilities, or expenses arising out of your use of the App, your listings or sales activity, or your violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access to the App at any time, for any reason, with or without notice.

14. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in California.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance of the updated Terms.
